1. Legal & Regulatory Compliance
1.1 General compliance – suppliers shall observe all national, EU and international laws, including but not limited to competition, data-protection, export-control, environmental and labour statutes.
1.2 Export controls & sanctions – suppliers must comply with Regulation (EU) 2021/821, Council Regulation (EU) No 833/2014, and any US, UK or UN measures that affect the transaction.
1.3 Sanctions-screened supply chain – the Supplier shall ensure that no goods, components, raw materials, software, services or financing used to fulfil a Rasting order:
- (a) originate from, are routed through, or directly benefit entities domiciled in the Russian Federation, the Republic of Belarus or any other jurisdiction subject to EU comprehensive sanctions; nor
- (b) involve persons or entities listed on the EU Consolidated Financial Sanctions List, OFAC SDN List, UK HMT Sanctions List or UN Sanctions Lists.
The Supplier shall cascade this requirement through its own supply chain and provide documentary proof on request. Breach constitutes a material breach and triggers liquidated damages equal to the greater of 100 % of the purchase-order value or €50 000, payable on demand.
2. Business Integrity
2.1 Anti-bribery & graft – no bribes, kickbacks or facilitation payments.
2.2 Conflicts of interest – actual or potential conflicts must be disclosed promptly to Rasting.
2.3 Accurate records – books and records shall reflect transactions completely and truthfully.
3. Human Rights & Labour
3.1 No forced or child labour – employment must be voluntary and workers at least 15 years old or the legal minimum employment age in the country of operation, whichever is higher. Workers under 18 shall not perform hazardous tasks.
3.2 Non-discrimination – hiring, pay and promotion decisions are based on merit; discrimination based on gender, race, religion, orientation or other protected characteristic is prohibited.
3.3 Freedom of association – workers may lawfully form, join or refrain from joining trade unions without retaliation.
4. Health, Safety & Environment
4.1 Safe workplace – suppliers provide a healthy and safe environment consistent with local law and, where applicable, ISO 45001.
4.2 Environmental stewardship – hazardous substances are controlled; emissions, effluents and waste are minimised; ISO 14001 or equivalent standards are encouraged.
5. Quality & Product Compliance
5.1 Quality management – suppliers maintain a suitable quality-management system (e.g., ISO 9001) for the products or services supplied.
5.2 Traceability & retention – records that enable full traceability of materials, parts and processes are retained for at least five (5) years after delivery, or longer if contractually required.
6. Information Security & Confidentiality
6.1 Confidential information – technical, commercial or personal data received from Rasting shall be kept confidential and used only for the intended business purpose.
6.2 Cyber-security – reasonable technical and organisational measures (access control, encryption in transit, anti-malware, backups) must protect Rasting data and systems.
7. Monitoring & Enforcement
7.1 Right to audit – Rasting or its authorised representative may audit Supplier facilities and records, on reasonable notice, to verify compliance with this Code.
7.2 Corrective action & remedies – non-conformities must be remedied within an agreed timeframe. Serious or repeated breaches may result in contract termination, damages claims and notification to authorities.
7.3 Reporting channel – suspected violations may be reported in confidence to info@rasting.tech.
8. Acceptance
8.1 By supplying goods or services to Rasting, the Supplier acknowledges receipt of this Code and agrees to comply with its provisions.
